How does the cooperation work?
We start the process by sharing with you our experience from similar transactions and explaining each stage of the sale in detail. Understanding the entire process and agreeing to each part of it is essential to moving forward so that you can make informed decisions with peace of mind.
First Phase
In the first phase, we will help you define the entire transaction and value your company or stake in it. This will give you an overview to assess whether the expected purchase price is in line with your objectives. We will help you find potential buyers and prepare a presentation of the company so that every interested party has a clear idea of the company. We will also help you structure and set up a company database where we will jointly enter basic legal, economic and business information about your company.
Second Phase
It's time to approach potential buyers. We will create a list of dozens of potential buyers, who will then be approached by mutual agreement and briefly introduce the company on your behalf. This sorts the wheat from the chaff, so your time is only invested in conversations with those buyers who show serious interest and have the resources to complete the transaction. We will then solicit specific offers from these parties, which you will be able to review and evaluate without penalty.
Third Phase
If you choose among the offers, we will ensure the conclusion of a non-disclosure agreement (NDA) in the next phase and set up access to internal documents in the databank for the purpose of due diligence of your company by a potential buyer. Qualified buyers who complete due diligence are then invited to submit binding offers.
We will then evaluate these offers with you and together we will set out a strategy on which points you are comfortable with and where we would like to negotiate better terms if necessary. In all negotiations, both with the bidders and, if necessary, with any third parties (lawyers, accountants, auditors, etc.), we are not only fully at your disposal as a matter of course, but also coordinate all these activities on your behalf to ensure a smooth and quick closing of the transaction.
